Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Madad website, the Madad customer mobile application, and the Madad vendor mobile application (collectively, the "Services"), operated by Madad ("Madad", "we", "us", or "our").

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Nature of the Services

Madad is a multi-vendor marketplace that connects customers with independent third-party vendors offering building materials, finishing materials, logistics services, and workshop services across Syria. Madad is not the seller of the products or services listed on the platform and is not a party to any transaction between a customer and a vendor.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts under Syrian law to use the Services. By using the Services, you confirm that you meet these requirements.

3. Accounts and OTP Authentication

• You register and log in using your mobile phone number. A one-time password (OTP) is sent to you via WhatsApp for verification.
• You are responsible for keeping your phone and device secure and for all activity that occurs through your account.
• You agree to provide accurate, current, and complete information, and to keep it up to date.
• You may not use someone else's phone number, impersonate another person, or create multiple accounts for abusive purposes.

4. Orders and Vendor Transactions

• Madad allows you to send order inquiries to vendors. An "order" on Madad is a request to be contacted by the vendor on your WhatsApp number.
• The vendor is solely responsible for pricing, availability, payment terms, delivery, invoicing, warranties, and after-sale support for their products and services.
• Any agreement, payment, or dispute is strictly between you and the vendor. Madad is not a party to that agreement.
• Madad does not collect payments from customers for vendor products. Monetization by Madad is limited to platform services such as featured listings, promoted stores, advertisements, and vendor subscriptions.

5. Vendor Obligations

If you use the Services as a vendor, you also agree to the following:

• You will only list products and services that you are legally authorized to sell.
• All product information, prices, photos, and specifications must be accurate and up to date.
• You will respond to customer inquiries in a timely and professional manner.
• You will not engage in fraud, misrepresentation, or the sale of prohibited items (including but not limited to counterfeit goods, weapons, hazardous materials, or anything restricted under Syrian law).
• You remain solely responsible for complying with all applicable commercial, tax, and safety regulations in Syria.

6. Acceptable Use

When using the Services, you agree not to:

• Violate any applicable law or regulation.
• Submit false, misleading, or harmful content, including fake reviews or listings.
• Harass, threaten, or defame any vendor, customer, or employee.
• Use the Services to distribute spam, malware, or unsolicited advertising.
• Attempt to reverse engineer, scrape, or disrupt the Services, their servers, or their security features.
• Use the Services for any purpose other than those permitted by these Terms.

7. User-Generated Content

You retain ownership of content you submit (such as listings, photos, and reviews). By submitting content, you grant Madad a worldwide, non-exclusive, royalty-free license to host, display, adapt, and distribute the content as needed to operate and promote the Services. You confirm that you have the rights necessary to grant this license and that your content does not infringe any third-party rights.

8. Intellectual Property

The Madad name, logo, software, design, and all related materials are the intellectual property of Madad or its licensors and are protected by applicable laws. Except for the limited rights granted to use the Services, no rights are transferred to you.

9. Fees and Paid Features

Certain features of the Services — such as featured listings, promoted stores, banner advertisements, verified badges, and vendor subscriptions — are offered for a fee. Prices, durations, and inclusions are displayed before purchase. Unless expressly stated otherwise, fees paid for paid features are non-refundable.

10. Suspension and Termination

• You may stop using the Services at any time and delete your account from within the app.
• We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, misuse the Services, or create risk or legal exposure for Madad or other users.
• Upon termination, the rights granted to you under these Terms will end, but any provisions that by their nature should survive termination will continue to apply.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Madad does not warrant that listings are accurate, that vendors will fulfil their obligations, or that the Services will be uninterrupted, error-free, or secure. Your use of the Services is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Madad and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services or any transaction with a vendor.

13. Indemnity

You agree to indemnify and hold Madad harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the Services, your content, your violation of these Terms, or your violation of the rights of any third party.

14. Governing Law and Disputes

These Terms are governed by the laws of the Syrian Arab Republic. Any dispute arising out of or related to the Services or these Terms shall be subject to the exclusive jurisdiction of the competent courts in Damascus, Syria, unless applicable law requires otherwise.

15. Changes to the Services and these Terms

We may modify the Services or these Terms at any time. If we make material changes, we will notify you via the Services or by reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
